Investment bank.

The VP, Legal Counsel will be responsible for:

\n
• Provide legal support to business units with respect to mergers & acquisitions, structured notes and other structured cash and derivatives products and Fixed Income business lines concerning transactional and regulatory matters, as well as other general legal matters
\n
• Analyze merger and acquisition related materials, including asset purchase agreements, NDAs and commitment letters
\n
• Advise on deal-contingent hedges and related swaps
\n
• Review a variety credit agreements and other transaction documents concerning project financing transactions
\n
• Advise on securities laws-related matters and provide dedicated coverage to existing structured note programs
\n
• Manage outside counsel in various jurisdictions to assess probability of successful acquisition or debt financing closings in relation to deal contingent derivatives
\n

\n
• JD from top US law school with excellent academic credentials
\n
• Admission to NY State Bar
\n
• 3+ years practicing at a top AmLaw 100 firm with exposure to banking & finance, structured finance, project finance and/or securities regulatory matters
\n
• Willingness to learn new areas and different financial products
\n
• Team player
